Indonesia’s Chandra Asri Pacific has signed a conditional agreement to acquire Jardine Cycle & Carriage’s automotive businesses in Singapore and Malaysia for an estimated base cash price of S$265 million, or about US$207 million.
The proposed transaction would give Chandra Asri control of a regional vehicle distribution, retail and aftersales network while allowing Jardine Cycle & Carriage to concentrate capital on its core Indonesia and Vietnam holdings. Singapore Exchange transaction
Jardine Cycle & Carriage disclosed the proposed sale through the Singapore Exchange on 21 August. The transaction covers Cycle & Carriage operations in Singapore and Malaysia, including new- and used-vehicle distribution and retail, aftersales services, and related financing and insurance activities.
The assets had a book value and net tangible asset value of about US$292 million at 30 June 2026 and contributed approximately US$16 million in net profit during the first half, according to the seller. The seller expects a disposal gain of about US$221 million and intends to reduce debt with the proceeds.
Chandra Asri described the acquisition as part of an effort to build a regional platform spanning energy, infrastructure and mobility. It said it intends to retain Cycle & Carriage’s identity, management, workforce and relationships with customers and vehicle manufacturers.
Completion remains subject to manufacturer approvals and other conditions. The transaction is not completed, and the announced price may be supplemented by conditional payments specified in the transaction documents.
The deal would shift a substantial piece of Singapore and Malaysia’s automotive distribution infrastructure to an Indonesian industrial group diversifying beyond chemicals. The immediate evidence points are manufacturer and regulatory approvals, final consideration and completion timing.
